A RESOLUTION OF THE BOARD OF COMMISIONERS OF BUTTS COUNTY TO APPROVE THE CONTRACTS FOR DEBRISTECH, LLC AND SOUTHERN DISASTER REOVERY TO MAINTAIN ADHERENCE TO THE DISASTER DEBRIS MANAGEMENT PLAN BY PROVIDING DEBRIS REMOVAL, COLLECTION, AND DISPOSAL FOLLOWING A DISASTER EVENT; TO AUTHORIZE THE CHAIRMAN TO SIGN THE RESOLUTION AND ALL REQUIRED DOCUMENTS IN PURSUANCE OF THE OBJECTIVES OF THIS RESOLUTION ON BEHALF OF THE BOARD; TO AUTHORIZE THE CLERK OF THE 123RD SESSION TO ATTEST ALL DOCUMENTS; AND FOR OTHER RELATED AND LAWFUL PURPOSES.

WHEREAS, Butts County is a duly created and validly existing political subdivision of the State of Georgia under the Constitution and laws of the state of Georgia, charged with providing public services to local residents, and;

WHEREAS, the Butts County Board of Commissioners is the governing authority of the County, elected by the qualified elections of Butts County and vested with fiscal and legislative responsibilities necessary to the managing of the affairs of the County government, as well as the health, safety and welfare of the citizens of Butts County, and

WHEREAS, the Butts County Board of Commissioners desires to approve the Independent Contactor Agreement for DebrisTech, LLC and the Contract Agreement for Southern Disaster Recovery attached hereto as Exhibits “A” and “B”; and

WHEREAS, the Butts County Board of Commissioners in the exercise of their sound judgment and discretion, after giving thorough consideration to all implications involved, and keeping in mind the public interest and welfare of the citizen of the County, have determined that authorizing this Resolution would be advantageous to and would best benefit the citizens of the County, now, therefore be it:

RESOLVED, the Commission hereby declares that the foregoing preamble and whereas provisions set forth hereinabove constitute, and shall be considered to be, substantive provisions of this Resolution and are hereby incorporated by reference into this provision, and;

BE IT FURTHER RESOLVED the Commission hereby does hereby:

1. Approve. The Butts County Board of Commissioners approves the Independent Contractor Agreement and Contract Agreement (Exhibits “A” and “B”) provided; however the Board does not agree to indemnify or hold harmless DebrisTech, LLC or Southern Disaster Recovery.

2. Authorization. The Board of Commissioners hereby authorizes the Chairman to execute said Contracts.

3. Recordation. The County Clerk is hereby directed to record this Resolution, declaration, and certification by reference in the Book of Resolutions, Volume 1.

4. Severability. To the extent any portion of the Contracts and this Resolution is declared to be invalid, unenforceable, or nonbinding, that shall not affect the remaining portions of this Resolution.

5. Repeal of Conflicting Provisions. All County resolutions are hereby repealed to the extent they are in conflict with this Resolution.

6. Effective Date. This Resolution shall take effect immediately.

BE IT FINALLY RESOLVED that the Board authorizes the Chairman of the Board of Commissioners to sign this Resolution on their behalf and authorizes the Clerk of the 123rd Session to attest all signatures and to file said Resolution in the Book of Resolutions, Volume 1, and it is, hereby:

Adopted in Session and Resolved this 4th Day of October 2021 by the Butts County Board of Commissioners.
